1. Description of Service

Webthly provides a software-as-a-service (SaaS) platform that allows businesses to automate customer feedback requests via Viber and SMS, filter negative experiences privately, and encourage positive Google Reviews.

2. Client Responsibilities & Data Consent

You agree that Webthly is merely a technical processor of the information you provide. You are solely responsible for ensuring compliance with local data protection laws (e.g., GDPR) regarding the contacts you reach out to.

3. Anti-Spam & Liquidated Damages

Webthly maintains a zero-tolerance policy for Spam. Spam is defined as any message sent to a user who has not opted-in or any message that violates Viber Business Message Guidelines.

In accordance with our agreement with messaging providers, for every verified incident of Spam caused by your account, you agree to pay liquidated damages in the amount of €5,000 per incident to cover penalties imposed by the carriers.

4. Verified Messaging Channels

Access to Viber Business Messages is subject to Viber's approval. Webthly reserves the right to suspend or terminate your verified channel immediately and without notice if:

• You receive an excessive number of "Report as Spam" complaints.
• You attempt to send messages unrelated to your approved brand.
• You promote competitive messaging platforms.

5. Subscriptions and Billing

Our services are billed on a monthly subscription basis. Subscriptions renew automatically.

• Cancellation: You may cancel at any time, but no refunds will be provided for the remaining period of the current billing cycle.
• Fees: We reserve the right to adjust pricing with 30 days' notice.

6. Intellectual Property

Webthly and OM Media retain all rights to the software, algorithms, and dashboard interface. Clients are granted a non-exclusive, non-transferable license to use the service for their own internal business purposes during the subscription period.

7. Limitation of Liability

Webthly is not responsible for any negative impact on your Google Business Profile, including but not limited to, account suspension by Google, removal of reviews, or drops in ranking. We do not guarantee a specific number of reviews or a specific star rating.

8. Governing Law

These Terms are governed by the laws of Bosnia and Herzegovina. Any disputes related to the €5,000 spam penalty or service misuse shall be subject to the exclusive jurisdiction of the competent courts in East Sarajevo.
